These Terms of Use (the "Terms") form a legally binding agreement between you and the MielVibe Team ("MielVibe," "we," "us," or "our") governing your access to and use of the MielVibe mobile application and related services (collectively, the "App" or "Services"). The Services are intended for users aged 17 and older.
By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Eligibility (17+)
You must be at least 17 years old to use the Services. By using the Services, you represent that you meet this requirement and that you are legally able to enter into this agreement under applicable law.
2) The Services
MielVibe helps you transform shopping dreams into structured plans. You can create and organize wish items with images, details, and priorities, track decision-making, and manage purchase planning and records.
We may add, modify, or remove features at any time. Some features may be optional and may require network access, device permissions (such as Photos or Location), or an account.
3) Accounts
A. Account registration
If the Services require or allow account creation, you agree to provide accurate and up-to-date information (such as name, username, and email address) and to keep it current.
B. Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you suspect unauthorized access or use.
C. Account termination
You may stop using the Services at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms or if necessary to protect the Services, users, or third parties.
4) Your Content
A. Your content
"User Content" means any text, images, item details, notes, lists, or other content you submit, upload, or store through the Services.
B. Ownership
You retain ownership of your User Content.
C. License to operate the Services
To provide and operate the Services, you grant MielVibe a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display your User Content solely as necessary to provide, maintain, and improve the Services and to fulfill your requests.
D. Responsibility
You are responsible for your User Content and represent that you have all rights needed to submit it and that it does not violate law or third-party rights.
5) Optional Server Processing and AI-Assisted Features
Some features may offer optional AI-assisted processing to help you organize or generate structured information from content you submit (for example, analyzing an image or text to produce structured item details).
If such processing is offered:
- You choose whether to upload content and whether to generate outputs.
- Uploaded images or text are processed on servers controlled by the MielVibe Team.
- We do not share uploaded content with any third parties for AI processing.
- We do not use uploaded content for model training or marketing profiling.
- Uploaded content is deleted immediately after processing is completed, unless you explicitly choose to save the resulting output in the App.
6) Acceptable Use
You agree not to:
- Use the Services in a way that violates any law or regulation.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with, disrupt, or degrade the integrity or performance of the Services.
- Upload or transmit malware or harmful code.
- Infringe the intellectual property or other rights of others.
- Use the Services to harass, defame, or threaten others.
7) Permissions (Photos / Location) and Device Features
The Services may request access to device features such as Photos/Camera or Location. You control these permissions in your device settings. If you deny or revoke permissions, some features may not function properly.
We do not perform face recognition and do not collect biometric identifiers from your photos.
8) Privacy
Our Privacy Policy explains how we collect and use information. Please review it carefully. If you do not agree with our privacy practices, do not use the Services.
9) Intellectual Property
Except for your User Content, the Services and all related content, software, designs, logos, and trademarks are owned by or licensed to MielVibe and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.
10) Feedback
If you submit feedback, ideas, or suggestions, you grant us the right to use them without restriction or compensation, including to improve the Services, unless prohibited by law.
11) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MielVIBE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
MielVibe does not guarantee that the Services will be uninterrupted, error-free, or secure, or that any content or outputs will be accurate or reliable.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIELVIBE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIELVIBE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO MIELVIBE FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU PAID NOTHING, US$10).
Some jurisdictions do not allow certain limitations. In such cases, the above limitations apply to the maximum extent permitted by law.
13) Indemnification
You agree to defend, indemnify, and hold harmless MielVibe from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.
14) Changes to the Services or Terms
We may update the Services and these Terms from time to time. We will update the "Last Updated" date at the top of this page. If changes are material, we may provide additional notice (such as in-App notice). Your continued use after changes become effective means you accept the updated Terms.
15) Governing Law; Binding Arbitration
A. Governing law
These Terms are governed by the laws of our principal place of business, without regard to conflict of law principles, except where applicable law requires otherwise.
B. Binding arbitration
Any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be resolved by binding arbitration on an individual basis, and not in a class, consolidated, or representative action, except where prohibited by applicable law.
C. Injunctive relief
Nothing in this section prevents either party from seeking injunctive or other equitable relief to protect its intellectual property or confidential information in a court of competent jurisdiction.
16) Miscellaneous
- If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
- You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
- These Terms constitute the entire agreement between you and MielVibe regarding the Services and supersede prior agreements on the subject.
